Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Spark-XC marketing website at sparkxc.ai (the "Site"), operated by Spark-XC ("Spark-XC," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Description of the Site

The Site is an informational marketing website for Spark-XC, a patent-pending AI power governance product. The Site provides general information about our technology, supporting materials, and a contact form through which prospective design partners may express interest and begin onboarding discussions. The Site does not itself provide the Spark-XC product or any production service.

Intellectual Property

All content on the Site — including text, graphics, diagrams, logos, and the "Spark-XC" and "SPARK-XC" names and marks — is owned by or licensed to Spark-XC and is protected by intellectual property and other laws. The underlying technology is patent-pending. Except as expressly permitted, you may not copy, reproduce, distribute, modify, or create derivative works from the Site or its content without our prior written consent.

Acceptable Use

You agree to use the Site lawfully and not to:

• Interfere with or disrupt the Site or its underlying infrastructure;
• Attempt to gain unauthorized access to any systems or data;
• Scrape, harvest, or collect information from the Site in violation of these Terms or applicable law;
• Submit false, misleading, or unlawful information through the contact form; or
• Use the Site to transmit malware or other harmful code.

No Warranty; "As Is"

The Site and all content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Any figures, demonstrations, and sample Power Event Records presented on the Site are illustrative validation evidence intended to explain the product. They are not guarantees, representations, or warranties of savings, performance, availability, or results, and actual outcomes will vary. We do not warrant that the Site will be uninterrupted, error-free, or secure.

Limitation of Liability

To the maximum extent permitted by law, Spark-XC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Site, even if advised of the possibility of such damages. Our aggregate liability for any claim relating to the Site is limited to the greater of the amount you paid to access the Site (if any) or one hundred U.S. dollars (USD $100).

You agree to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Virginia for any dispute arising out of or relating to these Terms or the Site.
